These Terms of Service ("Terms") govern the provision of formulation, product development, and contract manufacturing services by Flux Lab Pty Ltd ("Flux Lab", "we", "us") to clients ("you", "Client"). By engaging our services, you agree to these Terms.

1. Our Services

Flux Lab provides cosmetic and personal care formulation, R&D, product testing, and contract manufacturing services, with no minimum order quantities unless otherwise specified in your quote.

2. Quotes and Orders

Quotes are valid for the period stated on the quote and are not binding until confirmed in writing and, where applicable, a deposit is received. Orders are confirmed once we issue written acceptance.

3. Payment Terms

Payment terms (including any deposit, milestone, or balance requirements) will be set out in your quote or invoice. Late payments may result in paused work or delayed delivery until outstanding amounts are settled.

4. Intellectual Property

• Formulations developed specifically for a Client, once paid for in full, belong to that Client for use with their own branded products.

• Flux Lab retains ownership of its underlying manufacturing processes, base formulations, technical know-how, and any improvements to its own methods, whether or not they arise from work performed for a Client.

• Flux Lab will not supply a Client's custom formulation to another party without the Client's consent, except where the formulation uses Flux Lab's own base technology also used across other projects.

5. Client Responsibilities

You are responsible for:

• Ensuring product names, claims, labelling, and marketing comply with applicable Australian laws (including ACCC and AICIS requirements) and any relevant overseas regulations for markets you sell into;

• Providing accurate information about your intended product use, target market, and any regulatory requirements; and

• Obtaining any necessary permits, registrations, or approvals for your finished product.

Flux Lab manufactures in accordance with agreed specifications but does not assume responsibility for a Client's product claims, labelling decisions, or market-specific regulatory approvals unless expressly agreed in writing.

6. Confidentiality

Both parties agree to keep confidential any formulations, pricing, business information, or technical know-how shared during the course of the engagement, and to use it only for the purposes of the project. This obligation continues after the engagement ends.

7. Lead Times and Delivery

Estimated lead times are provided in good faith but are not guaranteed, as they can be affected by raw material availability, packaging supply, or third-party delays. We will keep you informed of any material changes to timing.

8. Quality, Defects, and Warranties

We warrant that products will conform to the agreed specification at the time of dispatch. If a batch does not conform, please refer to our Refund Policy for how defect claims are handled. This warranty does not extend to issues arising from Client-supplied packaging or ingredients, Client-approved specifications, or handling and storage after dispatch.

9. Limitation of Liability

To the maximum extent permitted by law, Flux Lab's liability for any claim arising from our services is limited to the value of the relevant order. We are not liable for indirect or consequential losses, including loss of profits or business opportunity, except where such liability cannot be excluded under the Australian Consumer Law.

10. Termination

Either party may terminate an ongoing engagement with written notice. Work completed and costs incurred up to the date of termination remain payable.

11. Governing Law

These Terms are governed by the laws of Victoria, Australia, and any disputes will be subject to the exclusive jurisdiction of the courts of that state.

12. Changes to These Terms

We may update these Terms from time to time. The current version will always be available on our website and applies to new orders from the date of publication.
